A notification filing with the U.S. Federal Trade Commission (FTC) and the Department of Justice Antitrust Division may be required prior to consummation of a merger. These federal agencies review potential mergers in order to prevent market concentration in the hands of one or just a few companies that may allow those companies to monopolize the market. It is considered that unreasonable and unnecessary monopolization hurts other market participants, discourages economical competition, and leads to other unethical business behavior.
